Terms of Service

1. Agreement to Terms

These Terms govern your access to and use of Godric, provided by Multimodal Ventures Limited ("we," "us," "our"). By using the Service, you agree to these Terms on behalf of yourself or your employer.

2. Eligibility and Accounts

  • You must be 18+ and authorized to act for your organization.

  • You must provide accurate information and protect your credentials.

  • The first user from an organization becomes an Admin with authority to manage roles and data.

3. The Service

Godric provides tools that:

  • Analyze job descriptions to identify competencies.

  • Generate structured interview plans and question sets.

  • Allow note-taking, scoring, and collaborative debriefs.

  • Transcribe and analyze recorded interviews with AI.

  • Integrate with ATS and calendar systems.

4. User Content and Licenses

"User Content" includes all materials (text, audio, video, CVs, plans, questions) uploaded or created. You grant Godric a worldwide, royalty-free license to host, process, and display this data solely to operate and improve the Service.

You retain ownership of your content and must ensure:

  • You have all necessary rights and consents.

  • Candidates are informed of recording/AI processing.

  • You comply with employment and privacy laws.

5. Acceptable Use

You may not:

  • Use Godric for unlawful or discriminatory hiring.

  • Upload defamatory, obscene, or infringing content.

  • Interfere with security or reverse-engineer the platform.

  • Share access credentials or resell the Service.

Violations may result in suspension or termination.

6. Beta Features and Feedback

Beta features are provided "as is." Feedback you provide may be used freely to enhance the product without obligation.

7. Intellectual Property

All IP in Godric (software, algorithms, UI, trademarks) belongs to Multimodal Ventures Limited or its licensors. These Terms grant only a limited, non-exclusive license to use the Service.

8. Disclaimers

  • Informational only: AI outputs assist but do not determine hiring outcomes.

  • No warranty: The Service is provided "as is" without express or implied warranties.

  • No legal advice: Users remain responsible for compliance with labor laws.

9. Limitation of Liability

To the maximum extent permitted by law, our aggregate liability under these Terms shall not exceed the greater of: (a) amounts paid in the 12 months preceding the claim, or (b) USD 100.

We are not liable for indirect, consequential, or punitive damages.

10. Indemnification

You agree to defend and hold harmless Godric and its affiliates from any claims arising out of your misuse, violation of law, or uploaded content.

11. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR).

Any dispute, controversy, or claim arising from or relating to these Terms, the Service, or the interpretation, breach, or termination thereof shall be referred to and finally resolved by arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules in force at the time.

  • The seat of arbitration shall be Hong Kong.

  • The language of arbitration shall be English.

  • Each party shall bear its own costs, subject to the arbitrator's discretion

  • Either party may seek injunctive or equitable relief in the courts of Hong Kong pending the outcome of arbitration.

12. Modifications

We may modify these Terms by posting updates. Continued use constitutes acceptance. If you disagree, discontinue use.

13. Termination

We may suspend or terminate accounts for violations, non-payment, or misuse. Upon termination, all rights cease except for surviving sections (4, 7-11).

14. Miscellaneous

  • Entire Agreement: These Terms and the Privacy Policy constitute the whole agreement.

  • Severability: Invalid provisions do not affect remaining clauses.

  • Assignment: You may not assign rights; we may assign in corporate reorganizations.

  • Force Majeure: We are not liable for events beyond control (e.g., outages, natural disasters).

  • Notices: Sent to your registered email or via the Service.
